Client agrees to indemnify and hold Sly Fox Investigations (SFI), it's officers, management, agents, subcontractors and employees harmless from any and all causes of action, liabilities, claims, damages and demands or whatever type, including attorney fees, expenses, costs, and judgments arising from clients use or possession of the information/services furnished by Sly Fox Investigations. Client agrees not to use any information provided to stalk, harass, or physically harm the subject in any way. Client understands that such actions may be punishable by law. For the safety of all parties involved, client agrees not to show up at any related location during the surveillance assignment. Client understands that if client shows up at the scene of the investigation, SFI may terminate surveillance and client may lose entire case fee. Client understands that case results are determined by case details, safety issues, legal issues, lighting, and other factors. Database search reports are performed strictly by the information provided on the subject by the CLIENT. Any error in spelling, format or sequence of letters, words or numbers can result in wrong information on the subject. Data is supplied from different private sources, computer systems, public information facilities, court houses, government open record institutions and might also contain confidential source information. All attempts are made to maintain the integrity of this data. AGENCY cannot be held liable for inaccuracies contained in public record information or databases accessed. Furthermore, information has been gathered from sources and individuals deemed reliable by AGENCY; however, no guarantee, warranty, or other representation is made as to the accuracy of information received from third parties, or its suitability for any particular purpose. Retainer is initial only. If the cost of the investigation will exceed the initial retainer, client will receive prior notification and additional funding may be required before assignment is completed. No refunds, only credit for future services. Four hour minimum. No rescheduling four hour minimum once case begins. No cancellations. Cancellation fees apply. Court testimony or standby prepaid $500/day per investigator plus mileage and travel. Hourly rate, travel/ mileage, report/video processing, and other expenses relative to the case (i.e. hotel, parking, etc) will be deducted from retainer. Client agrees that client alone is responsible for the payment of requested services regardless of a third party's willingness or ability to pay. Client agrees that client has the authority to hire SFI on behalf of client's company. CLIENT agrees that AGENCY, at AGENCY’s sole discretion, may use sub-contracted investigators, and may immediately engage one or more additional investigator(s), at the agreed upon rate and billed in addition to the hourly investigator rate, (within the authorized budget) which CLIENT hereby AGREES to pay in the course of any assignment where AGENCY determines that one or more additional investigator(s) is needed immediately, such as when a separate investigator is needed to initiate an undercover inquiry, or the subject of our investigation leads the AGENCY to an unusually difficult setting, such as downtown office buildings, airport, public amusement / entertainment / sporting events, etc. CLIENT agrees that no verbal updates will be provided to CLIENT while AGENCY is engaged in or in the process of performing any surveillance assignments. Text updates provided based on activity as necessary determined by investigator. Oral reports may be provided within 48 hours after the information is obtained or, no sooner than 9:00 a.m. the Monday following any weekend surveillance assignment when reporting information to CLIENT. CLIENT further agrees that if CLIENT is represented by an attorney that AGENCY within the times mentioned in this paragraph may, at AGENCY’s sole discretion, provide the reports mentioned above directly to the CLIENT’s attorney. CLIENT understands that he/she may be needed to provide information to AGENCY while in the course of a surveillance assignment (vehicle descriptors, color of dress / clothing for the day, etc.) but AGENCY is not obligated to provide a report to CLIENT at the time the additional information is requested. If CLIENT is a law firm, CLIENT hereby expressly acknowledges, covenants, and agrees that the obligation of the attorney or law firm to pay the investigators for services rendered is an obligation solely of the attorney or law firm and is in no way contingent on any particular result or outcome of the investigation or the attorney or law firm being paid by its client. IF client wishes to cancel the investigation once the case has been submitted, an amount of one half of the retainer shall be paid to the agency as case cancellation fee. Client understands and acknowledges that agency has to schedule in advance the agency’s assignments in order for its employees/contractors to be available to perform and once scheduled, these employees/contractors cannot be quickly rescheduled to other clients. Therefore the agency must retain an amount equal to half of the agency’s projected fees for that day’s assignment. Legal interest fees will apply to past due accounts. Client agrees to pay reasonable attorney fees and costs due SFI according to the laws of the State of Louisiana. SFI may cancel this agreement at any time if it is discovered that client misrepresented him/her/itself to Sly Fox Investigations. This Agreement shall be governed by the laws of the State of Louisiana. CLIENT hereby agrees that in the event of any litigation regarding fees owed to AGENCY, that jurisdiction and venue shall be in Baton Rouge or New Orleans, Louisiana. A signed copy or a signed facsimile of this retainer agreement will be valid as an original.
